1. Who we are
Hotel RFP Builder Pro (the “Service”) is operated by Plan Bach Hospitality Services Pty Ltd, ABN 28 681 903 220 (“Plan Bach”, “we”, “us”, “our”). By accessing or using the Service you are entering into a binding agreement with Plan Bach on these Terms.
2. Acceptance
By creating an account, purchasing a plan, or otherwise using the Service, you confirm you have read and agree to these Terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation. If you are using the Service as an individual, you confirm you are of legal age in your jurisdiction.
3. The Service
Hotel RFP Builder Pro helps hoteliers structure, run and compare technology RFPs, including templates, scoring frameworks, supplier responses, and reporting. We may add, change, or remove features at our discretion. We do not guarantee that the Service will be uninterrupted, error-free, or that any specific result will be achieved through its use.
4. Your account
You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You agree to provide accurate information and to keep that information up to date.
5. Acceptable use
You must not use the Service to:
- break any law or infringe anyone’s rights, including intellectual property;
- send spam, run fraudulent schemes, or impersonate others;
- upload malware, probe or scan our infrastructure, or otherwise interfere with the security or integrity of the Service;
- scrape, mirror or resell all or any part of the Service or its content without our written permission; or
- reverse engineer, decompile, or attempt to derive the source code of the Service, except as permitted by law.
6. Intellectual property
Plan Bach (and our licensors) own all rights in the Service, including the software, templates, scoring methodology, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your active subscription or licence. You retain ownership of content you upload; you grant us a limited licence to host and process that content solely to operate the Service for you.
7. Payment, billing and refunds
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service enquiries for orders and handles returns. Payment, billing, tax, cancellation and renewal mechanics are governed by Paddle’s Checkout Buyer Terms in addition to these Terms.
Refunds are handled in accordance with our Refund Policy.
8. Suspension and termination
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts owing, present a security or fraud risk, or repeatedly or seriously violate our acceptable-use rules. On termination, your right to use the Service ends; we will make a reasonable export window available for your content where practical before deletion.
9. Warranties and liability
To the fullest extent permitted by law, the Service is provided “as is” and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Nothing in these Terms excludes any guarantee, right or remedy you have under the Australian Consumer Law or other non-excludable consumer protection legislation.
To the extent permitted by law, our aggregate liability arising out of or in connection with the Service is capped at the fees you paid us in the 12 months immediately before the event giving rise to the claim. We are not liable for indirect, consequential, special or incidental loss, including loss of profits, data, goodwill or business opportunity.
10. Indemnity
You agree to indemnify Plan Bach against claims, losses and costs arising from your content, your use of the Service in breach of these Terms, or your violation of any law or third-party right.
11. Governing law
These Terms are governed by the laws of Australia. You and Plan Bach submit to the non-exclusive jurisdiction of the courts of Australia for any dispute arising out of or in connection with these Terms or the Service.
12. Changes
We may update these Terms from time to time. If changes are material, we will give reasonable notice (for example by email or an in-product notice) before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
